End User License Agreement

These terms govern your access to and use of Baer's websites, applications, integrations, and related digital services.

Effective date: July 26, 2026

1. Acceptance of these terms

This End User License Agreement (“Agreement”) is a binding agreement between you and Baer (“Baer,” “we,” “us,” or “our”). By accessing or using our websites, applications, integrations, or related services (collectively, the “Services”), you agree to this Agreement. If you do not agree, do not use the Services.

2. Limited license

Subject to this Agreement, Baer grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Services for your lawful personal or internal business purposes.

The Services are licensed, not sold. Baer and its licensors retain all right, title, and interest in the Services, including all software, content, designs, trademarks, and other intellectual property.

3. Accounts and connected services

You are responsible for maintaining the confidentiality of your credentials and for activity under your account. You agree to provide accurate information and promptly notify us of suspected unauthorized access.

The Services may allow you to connect third-party platforms, including Intuit or QuickBooks. Your use of a third-party platform remains subject to that provider's terms. You authorize us to access and process information from a connected account only as needed to provide the features you request. You may revoke a connection through the applicable provider or by contacting us.

4. Acceptable use

You may not:

  • use the Services for unlawful, fraudulent, or harmful activity;
  • copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Services except as permitted by law;
  • reverse engineer, decompile, or attempt to discover source code or underlying systems except where the law prohibits this restriction;
  • interfere with the security, availability, or operation of the Services, or attempt unauthorized access; or
  • use automated means to scrape or extract data from the Services without our written permission.

5. Your data and feedback

You retain ownership of information you submit or connect to the Services. You grant Baer a limited right to host, use, process, transmit, and display that information only as reasonably necessary to operate, secure, and improve the Services and fulfill your requests.

If you provide suggestions or feedback, you grant Baer a worldwide, perpetual, royalty-free right to use that feedback without restriction or compensation.

6. Availability, changes, and termination

We may modify, suspend, or discontinue any part of the Services at any time. You may stop using the Services at any time. We may suspend or terminate your access if you violate this Agreement, create security or legal risk, or misuse the Services. Upon termination, the license granted to you ends immediately.

7. Disclaimers

To the fullest extent permitted by law, the Services are provided “as is” and “as available.” Baer disclaims all express or implied warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability. The Services do not constitute legal, tax, accounting, investment, or other professional advice.

8. Limitation of liability

To the fullest extent permitted by law, Baer and its affiliates, officers, employees, agents, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities arising from or related to the Services. Baer's total liability for all claims relating to the Services will not exceed the greater of $100 or the amount you paid Baer for the Services during the twelve months before the event giving rise to the claim.

9. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Baer and its affiliates, officers, employees, and agents from claims, losses, liabilities, and expenses arising from your unlawful use of the Services, your violation of this Agreement, or your infringement of another person's rights.

10. Governing law

This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute not subject to a different written agreement must be brought in the state or federal courts located in Travis County, Texas, and each party consents to their jurisdiction and venue.

11. General terms

This Agreement and our Privacy Policy form the entire agreement regarding the Services unless a separate written agreement applies. If any provision is unenforceable, the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not assign this Agreement without our consent; Baer may assign it in connection with a merger, acquisition, reorganization, or sale of assets.

12. Changes and contact

We may update this Agreement from time to time by posting a revised version and changing the effective date. Continued use of the Services after an update means you accept the revised Agreement. Questions about this Agreement may be submitted through our contact page.
